Terms & Conditions

By downloading, installing, or using Zapnin (“the App”), you agree to be bound by these Terms & Conditions (“Terms”). These Terms constitute a legally binding agreement between you and Pivot & Anchor Pvt Ltd (‘we’, ‘us’, ‘our’), operating the Zapnin application. If you do not agree to these Terms, do not use the App.

Zapnin is a mobile application that helps groups of friends coordinate and commit to social plans. The service includes:

• Plan creation with configurable details (title, date, time, location, minimum threshold)
• Structured responses — In, Out, or Depends — with support for conditional dependencies
• Automatic dependency resolution that collapses circular dependencies and determines plan outcomes
• Push notifications and SMS invitations to keep participants informed
• Scheduling conflict detection across overlapping plans

Zapnin is a coordination tool, not a guarantee that plans will occur. Plan outcomes depend on participant responses and real-world circumstances beyond our control.

You must be at least 13 years of age to create an account and use Zapnin. By using the App, you represent and warrant that you meet this age requirement.

If you are between 13 and 18 years of age, you must have the consent of a parent or legal guardian to use the App. By using Zapnin, you confirm that such consent has been obtained.

• Your phone number serves as your primary account identifier
• Account creation requires SMS OTP (one-time password) verification
• You must provide accurate and complete information during registration
• Only one account is permitted per phone number
• You are responsible for maintaining the security of your account and for all activities that occur under it

Planner Controls

The person who creates a plan (the “Planner”) sets the plan title (required), invitees (required), and optionally the date, time, location, minimum number of “In” responses required (threshold), and a response deadline.

Plan States

Plans transition through defined states: Proposed (collecting responses) → On (threshold met, plan confirmed) → Completed (plan occurred and was marked complete by the Planner). A plan may also transition to Off if the deadline passes without meeting the threshold, or if the Planner cancels it.

Participant Responses

Participants respond with In (hard commit), Out (not attending), or Depends (conditional). When the resolution algorithm resolves a “Depends” response favorably, the participant is automatically committed as “In.” Participants are notified when their status changes and may update their response before the deadline.

You agree not to:

• Use Zapnin for any unlawful purpose or in violation of any applicable laws
• Harass, abuse, or send threatening content to other users
• Create plans with the intent to spam or annoy recipients
• Invite people you do not personally know to plans
• Include offensive, discriminatory, or inappropriate content in plan titles or details
• Attempt to reverse engineer, decompile, or disassemble the App or its algorithm
• Create multiple accounts or impersonate another person

When you invite someone who does not have Zapnin installed, we send SMS messages on your behalf. By inviting non-app users, you represent that:

• You have a personal relationship with the recipient
• The recipient would reasonably expect to receive a plan invitation from you

We send a maximum of 5 SMS messages per plan to any single non-app user. You are responsible for the appropriate use of the invitation feature and must not use it to contact strangers or send unsolicited messages.

The App, including its resolution algorithm, user interface, design, brand assets, and all associated intellectual property, is owned by Pivot & Anchor Pvt Ltd and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App, nor may you reverse engineer or attempt to extract the source code or algorithm logic.

You retain ownership of any content you create through the App, including plan titles, descriptions, and location choices. By using Zapnin, you grant us a limited, non-exclusive license to process, store, and display this content solely to operate the plan coordination service.

Plan data is retained for 90 days after a plan is marked as completed, after which it is permanently deleted. You may request a copy of your plan history by contacting us at people@pivotandanchor.com.

Your privacy is important to us. Please review our Privacy Policy for detailed information about how we collect, use, store, and protect your personal data, including how we handle dependency data, SMS communications, and phantom user records.

Zapnin is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We do not guarantee that the App will be available at all times, operate without errors or interruptions, that venue data from third-party providers (such as Google Places) will be accurate or up to date, or that push notifications and SMS messages will be delivered successfully in all circumstances.

To the fullest extent permitted by law, Pivot & Anchor Pvt Ltd (“Zapnin”) shall not be liable for:

• Plans that do not occur or do not proceed as expected
• Disputes between users arising from plan coordination
• Any indirect, incidental, special, consequential, or punitive damages
• Failure or delay in delivering notifications or SMS messages

In no event shall our total liability to you exceed the amount you have paid to us (if any) in the twelve months preceding the claim.

You may delete your account at any time through your account settings. Upon deletion, a soft delete is performed immediately. After a 30-day grace period (during which you may reactivate your account), your data is permanently deleted and your contributions to existing plans are anonymized.

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in abusive behavior, or use the service in a manner that could harm other users or the integrity of the platform.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through the App and update the “Last updated” date at the top of this page. Your continued use of Zapnin after any changes constitutes acceptance of the modified Terms.

You agree to indemnify, defend, and hold harmless Pivot & Anchor Pvt Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with your use of the App, your violation of these Terms, or your infringement of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith mediation for a period of at least 30 days.

Zapnin operates as an intermediary as defined under Section 2(1)(w) of the Information Technology Act, 2000 (“IT Act”). We claim protection under Section 79 of the IT Act as an intermediary that does not initiate the transmission, select the receiver of the transmission, or select or modify the information contained in the transmission. We comply with applicable intermediary guidelines issued under the IT Act.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pivot & Anchor Pvt Ltd regarding your use of the App, and supersede all prior agreements, understandings, and communications, whether written or oral.
